1. What Vaultlist Is
Vaultlist is a technology platform that connects real estate wholesalers ("Wholesalers") with cash buyers and investors ("Buyers"). Vaultlist is not a licensed real estate brokerage, title company, escrow agent, or law firm, and does not provide real estate, legal, financial, or investment advice. All deal information, comparable sales, rehab estimates, and property details are supplied by the users who post them and are not independently verified by Vaultlist.
2. Commission Obligation
By creating a Wholesaler account, you agree that Vaultlist is entitled to a commission equal to 10% of the assignment fee (or equivalent profit) on any transaction that is originated, matched, or substantially facilitated through the Vaultlist platform, regardless of whether the transaction ultimately closes on-platform, off-platform, or through a side agreement with a Buyer discovered via Vaultlist. This obligation applies to the specific deal and Buyer relationship formed through the platform and survives any attempt to complete the transaction outside of Vaultlist to avoid this fee.
3. Payment Terms
Commission is due upon closing of the transaction. Wholesalers are responsible for marking deals as closed accurately and promptly, and for remitting the commission owed using the payment method specified in the app. Failure to pay commission owed may result in account suspension, permanent ban from the platform, and pursuit of the amount owed through any lawful means available to Vaultlist.
4. User Conduct
Users agree not to use information obtained through Vaultlist (including but not limited to Buyer or Wholesaler contact information) to circumvent the platform or avoid commission obligations. Vaultlist reserves the right to withhold direct contact information between parties until commission obligations tied to a specific transaction are confirmed satisfied.
5. No Warranty
Vaultlist provides the platform "as is" without warranty of any kind. Deal data, financial estimates, comparable sales, and property conditions are user-submitted and not verified. Users are solely responsible for conducting their own due diligence, inspections, and verification before entering into any transaction.
6. Limitation of Liability
Vaultlist is not a party to any transaction between a Wholesaler and a Buyer and is not liable for any loss, damage, dispute, or failed transaction arising between users of the platform. Users transact with each other at their own risk.
7. Account Termination
Vaultlist may suspend or terminate any account, at its discretion, for violation of these terms, non-payment of commission owed, fraudulent activity, or any conduct deemed harmful to the platform or its users.
8. Changes to These Terms
Vaultlist may update these terms from time to time. Continued use of the platform after changes constitutes acceptance of the updated terms.
